This operational template reflects FaceVI’s intended product flow but is not legal advice. Have qualified counsel review it for Ontario, Canada and every market where the service is offered before accepting public payments.
1. Agreement and eligibility
These Terms form an agreement between the person or organization using FaceVI and the operator identified on the Contact page. By creating an account, purchasing credits, starting a subscription, submitting a custom-character request or otherwise using the service, you agree to these Terms and the incorporated Privacy Policy, Acceptable Use Policy, Refund and Cancellation Policy, and any checkout disclosures shown at purchase.
You must have legal capacity to enter this agreement. A person using FaceVI for an organization confirms that they have authority to bind that organization. The service is not intended for children below the minimum age required to consent to online services in their jurisdiction without appropriate parental or guardian authorization.
2. The FaceVI service
FaceVI provides AI-generated text, xAI speech transcription and xAI generated voice through animated video characters. Characters may enter idle, listening, thinking, speaking and gesture states. Some features rely on third-party providers, browser capabilities, compatible devices, internet connectivity and configured APIs. Features may change as the service develops.
AI output is probabilistic. It may be incomplete, inaccurate, outdated, biased, inappropriate or inconsistent. FaceVI does not guarantee that any response is correct, current, unique or suitable for a particular purpose. You are responsible for reviewing output before relying on, publishing or acting on it.
3. Accounts and security
You must provide accurate account information, protect your credentials and promptly report suspected unauthorized access. You are responsible for activities occurring under your account unless applicable law provides otherwise. FaceVI may require email verification, additional authentication or identity and payment checks.
You may not share an account in a way that defeats plan restrictions, credit measurement, security controls or private-character access. FaceVI may suspend sessions, reset credentials or require additional verification when misuse or compromise is suspected.
4. Credits and measured usage
Conversation credits represent available service time, displayed in seconds or minutes. FaceVI may calculate usage using AI processing time, estimated spoken-response duration and minimum or maximum charge rules disclosed in the application. Credits are not currency, do not earn interest and cannot be transferred unless FaceVI expressly permits it.
Purchased credits are applied only after a confirmed payment event from the payment processor. Technical estimates, interrupted requests and provider errors may affect measured usage. Contact support promptly when you believe a material measurement error occurred.
5. Subscriptions and recurring billing
Subscription plans renew automatically at the billing interval and price displayed during checkout until canceled. By subscribing, you authorize the payment processor to charge the selected payment method for recurring fees, applicable taxes and approved adjustments. Your bank or payment provider may apply separate fees.
You can request cancellation through available account or support channels. Cancellation ordinarily stops future renewals and does not automatically refund a current billing period. Continued access, service wind-down and retention after cancellation are governed by the Refund and Cancellation Policy and any checkout disclosure.
6. Custom Character Studio
The Custom Character Studio is a recurring service currently offered at USD $199 per month unless a different price is shown at checkout. Each paid month currently includes 1,000 minutes of FaceVI conversation credit. It allows a customer to submit a character name, a permitted reference image or preset, role and personality instructions, voice direction and behavior descriptions for idle, listening, thinking, speaking and gesture states.
A submission is saved as Awaiting payment until Stripe or another configured processor confirms payment. It may then move through Pending review, In production, Needs information, Ready, Rejected or Canceled. The normal production target of up to 24 hours begins only after confirmed payment and a complete, usable submission. It is an estimate, not a guaranteed delivery deadline. Clarification, rights review, revisions, technical limitations, unusual requests, provider outages or high demand may extend production.
Approval means the required video files were loaded and a private character was activated for the customer account. It does not guarantee perfect lip synchronization, continuous visual identity under every condition, compatibility with every browser or uninterrupted availability. FaceVI may make reasonable technical adjustments to file format, framing, compression, prompts, voice settings and state behavior.
7. Image, identity and content rights
You retain ownership of content you lawfully submit. You grant FaceVI a limited, worldwide, non-exclusive license to host, copy, resize, transcode, process, review and use submitted content solely to operate, secure, support and improve your requested service, including producing and displaying your private character.
You represent that you own or have all permissions, releases and lawful authority required for every uploaded image, likeness, name, voice direction, trademark and instruction. You may not submit another person’s identity for deceptive impersonation, fraud, harassment, sexual exploitation, political manipulation, evasion of disclosure requirements or violation of publicity, privacy, copyright or trademark rights.
FaceVI may reject, remove, disable or request proof of rights for any submission. A refund decision for rejected work is governed by the Refund and Cancellation Policy and may depend on whether production costs were already incurred and whether the customer supplied materially misleading information.
8. Private characters and account access
Approved custom characters are designed to be returned only to the owning account. “Private” does not mean immune from lawful administrative access, security review, backups, hosting-provider processing or legal disclosure. Customers must not share private character links or credentials in a manner that compromises access controls.
9. Voice messages and recordings
When a user submits microphone input, FaceVI may send a short browser-created audio clip through the FaceVI backend to xAI for transcription. AI reply text may be sent to xAI Text to Speech to generate the selected character voice. These voice services are separate from the optional Record feature.
When supported, the optional Record feature uses browser APIs to create audio or video recordings locally on the user’s device. FaceVI does not intentionally upload that recording media to the web server. The account may store limited metadata such as filename, duration, size, conversation identifier and creation date. Device, browser or extension behavior outside FaceVI’s control may differ.
You are responsible for obtaining any consent required to record other people and for complying with applicable wiretap, recording, workplace and privacy laws. Do not use FaceVI to record a person without lawful authorization.
10. Specialized information and no professional relationship
Tutor, astronomy, technology, business, fitness, financial, news, astrology, cooking and other specialized characters provide general educational, informational or entertainment content. They do not create a doctor-patient, lawyer-client, fiduciary, therapist-client, accountant-client or other professional relationship.
Do not use FaceVI as the sole basis for medical treatment, investment, legal action, emergency decisions, safety-critical operations or other high-stakes decisions. Verify material information with qualified professionals and primary sources.
11. Acceptable use
You must comply with the Acceptable Use Policy. Prohibited conduct includes unlawful access, malicious code, attempts to expose prompts or API keys, scraping that burdens the service, payment fraud, deceptive impersonation, harassment, exploitation, illegal content, infringement and attempts to bypass credits, rate limits or safety controls.
12. Third-party services
FaceVI may use xAI, Stripe, email providers, OAuth providers, hosting services and browser speech engines. Their terms and privacy practices may apply to their processing. FaceVI is not responsible for third-party outages, account actions, model changes, price changes, payment disputes or feature limitations beyond FaceVI’s reasonable control.
13. Intellectual property
FaceVI’s software, branding, logo, interface, original prompts, templates, documentation and site content are protected by intellectual-property law. Except for the limited rights required to use the service, no ownership is transferred. You may not copy, sell, reverse engineer, remove notices or create a confusingly similar service using FaceVI assets except where applicable law expressly permits it.
AI outputs may not qualify for copyright protection in every jurisdiction and may resemble other material. FaceVI does not promise exclusivity or ownership of generated output.
14. Suspension and termination
FaceVI may restrict or terminate access for breach, fraud, security risk, legal requirements, harmful conduct, nonpayment, excessive provider cost, operational necessity or discontinuation. Where reasonable, FaceVI may provide notice and an opportunity to correct a non-urgent issue. Immediate action may be taken to protect users, systems or third parties.
You may stop using FaceVI at any time. Termination does not erase payment obligations, accrued liabilities or provisions intended to survive, including rights, disclaimers, limitations and dispute terms.
15. Availability, changes and beta features
The service is provided on an “as available” basis. Maintenance, provider changes, hosting limits and security events may interrupt access. FaceVI may add, remove or modify features, character availability, credit calculations and plan benefits. Material subscription changes will be communicated as required by law.
16. Disclaimers
To the maximum extent permitted by law, FaceVI and its suppliers disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability and uninterrupted or error-free operation. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.
17. Limitation of liability
To the maximum extent permitted by law, FaceVI will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, lost profits, lost data, lost opportunities, reputational harm or decisions based on AI output. FaceVI’s aggregate liability arising from the service will not exceed the greater of the amount you paid to FaceVI during the three months before the event giving rise to the claim or the minimum amount required by applicable law.
18. Indemnity
To the extent permitted by law, you agree to defend and indemnify FaceVI from claims arising from your unlawful use, submitted content, infringement, deceptive impersonation, recording activity or material breach of these Terms. This provision does not apply where prohibited by consumer law.
19. Governing law and disputes
Unless mandatory consumer law requires otherwise, these Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law principles. Courts located in Ontario will have jurisdiction. Before filing a claim, the parties should attempt in good faith to resolve the issue through support.
20. General terms
If a provision is unenforceable, the remainder remains effective. Failure to enforce a provision is not a waiver. You may not assign this agreement without consent; FaceVI may assign it in connection with a reorganization, financing or sale. Electronic notices may be sent through the site, dashboard or account email.
21. Changes to these Terms
FaceVI may update these Terms. The effective date will be changed and material updates may be announced through the service or email. Continued use after an update takes effect constitutes acceptance where permitted by law.
